Terms of Service — partnr.to

Acceptance

By creating an account or accessing any part of partnr.to ("the Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms constitute a binding agreement between you and partnr.to ("we," "us," or "our"). We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance.

What partnr.to Is

partnr.to is software infrastructure for creator sponsorship workflows. We are not a talent agency, advertising network, representation firm, or marketplace intermediary. We do not match creators with sponsors, negotiate deals on behalf of either party, or take editorial positions on the content of any sponsorship.

We provide:

—A public storefront for creators to list sponsorship inventory
—A shared booking workspace for campaign execution
—Payment processing infrastructure via Stripe Connect
—Invoice generation and delivery tools

We do not provide guarantees of sponsorship revenue, audience reach, campaign performance, or payment collection.

Accounts

3.1Eligibility

You must be at least 18 years old and legally capable of entering into contracts in your jurisdiction. By registering, you represent this is true.

3.2Creator Accounts

Creators register at partnr.to and claim a unique handle (partnr.to/yourhandle). You are responsible for all activity under your account. You must keep your credentials secure. Your handle is tied to your Stripe Connect account and cannot be transferred.

3.3Stripe Connect Requirement

Creators must complete Stripe Connect onboarding to receive payments. partnr.to uses Stripe Connect to route funds directly from sponsors to creators. We never hold, touch, or control payment funds. Stripe's terms and conditions apply to all payment activity.

3.4Advertiser Access

Advertisers (sponsors) do not create accounts on partnr.to. Access to a booking workspace is granted via a time-limited magic link sent to the email address used at checkout. Sponsors are responsible for maintaining access to that email address.

Creator Obligations

By publishing a storefront on partnr.to, you agree to:

4.1Accuracy

Provide accurate identity information, audience metrics, and package descriptions. You may not misrepresent your reach, engagement, or the nature of deliverables.

4.2Platform-Synced Data

Audience metrics synced from connected platforms (YouTube, Substack, etc.) are pulled at the time of sync and may not reflect real-time figures. You acknowledge that verified metrics are only as current as our last successful sync.

4.3Self-Reported Data

Metrics entered manually are labeled “self-reported” on your storefront. You represent that manually entered figures are accurate to the best of your knowledge.

4.4Fulfillment

When a sponsor completes a booking, you are obligated to fulfill the agreed deliverables in good faith. Repeated failure to fulfill confirmed bookings may result in account suspension.

4.5Content Standards

You retain editorial discretion over all ad content. However, you may not fulfill sponsorships for content that is illegal, fraudulent, discriminatory, or that violates the terms of any platform on which your content is published.

4.6Tax Obligations

You are responsible for all tax obligations arising from payments received through the Platform. Stripe issues 1099 forms where required. partnr.to has no tax obligations on your behalf.

Sponsor Obligations

By completing a booking through partnr.to, sponsors agree to:

5.1Accuracy

Provide accurate contact and company information during checkout.

5.2Payment

Pay the full amount at checkout (instant mode) or as invoiced (invoice mode). Initiating a chargeback or payment dispute without first attempting resolution through the booking workspace may result in being blocked from the Platform.

5.3Content

Submit ad copy and brand assets that comply with applicable advertising laws and regulations, including FTC disclosure requirements. You represent that you have all rights to the creative materials you submit.

5.4Timelines

Submit required materials within the timelines established in the booking workspace. Delays in submitting copy or assets that cause scheduling disruption are the sponsor's responsibility.

Payments

6.1Platform Fee

partnr.to charges a 3% platform fee on all completed bookings. This fee is automatically deducted via Stripe Connect's application fee mechanism and applied to the gross booking amount before Stripe's own processing fees.

6.2Instant Checkout

Sponsors pay immediately via Stripe Checkout. Funds are routed directly to the creator's Stripe Connect account, net of platform and Stripe processing fees. Settlement follows Stripe's standard schedule (typically two business days).

6.3Invoice / Net Terms

Where a creator has enabled invoice-mode bookings, a Stripe invoice is generated and sent to the sponsor's email. The due date is set per package configuration (Net-15, Net-30, etc.).

partnr.to is not a party to invoice-mode payment obligations. We generate and deliver the invoice, but we do not guarantee collection, participate in collection disputes, or assume liability for unpaid invoices. Non-payment under invoice terms is a matter strictly between the creator and the sponsor.

If an invoice remains unpaid beyond its due date, the creator may cancel the booking via the workspace. Cancelled invoice-mode bookings carry no refund obligation because no payment was collected.

6.4Custom Deals

Custom deal proposals facilitated through partnr.to result in an agreed fee set by the creator. Once accepted, payment is collected via Stripe invoice before the campaign workspace activates. The invoice-mode payment terms in 6.3 apply.

6.5Refunds

Refunds on instant-checkout bookings are processed via Stripe through the cancellation workflow in the booking workspace. partnr.to's 3% fee is non-refundable once a booking has been confirmed and the workspace has been opened.

Booking Workspace

7.1Purpose

The booking workspace is a shared operational environment for executing a confirmed sponsorship. It is a communication and workflow tool, not a legally binding contract between creator and sponsor.

7.2Shared Visibility

All messages, status changes, file uploads, and approvals within a workspace are visible to both the creator and the sponsor.

7.3Sponsor Access

Workspace access for sponsors is session-based and expires after 30 days of inactivity, after which a new magic link must be requested. Creators retain permanent access to their workspace history through their dashboard.

7.4Archive

Completed and cancelled bookings are archived. Archived workspace content is retained for a minimum of two years and may be used in the event of a dispute.

Cancellations

8.1Instant-Checkout Bookings

Either party may initiate a cancellation subject to creator approval. Approved cancellations trigger an automatic Stripe refund to the original payment method. partnr.to's 3% fee is non-refundable once the workspace has been opened and the sponsor has gained access.

8.2Invoice-Mode Bookings

Unpaid invoice bookings may be cancelled by either party without financial consequence, as no payment has been collected. If cancelled after invoice payment has cleared, the refund terms in 8.1 apply.

8.3Creator-Initiated Cancellations

Creators may cancel any active booking at any time. Frequent creator-initiated cancellations may be reviewed and may result in account restrictions.

8.4After Delivery

Once a sponsorship is marked live, cancellation is not available to the sponsor.

Prohibited Use

You may not use partnr.to to:

—Create fraudulent bookings or fake sponsor inquiries
—Misrepresent audience size, demographics, or engagement
—Submit ad copy that promotes illegal goods or services
—Harass, threaten, or abuse other users through the workspace
—Circumvent our payment infrastructure by encouraging payment outside the Platform to avoid the platform fee
—Reverse engineer or extract data from the Platform
—Use automated tools to scrape creator storefronts

10.

Intellectual Property

10.1Your Content

You retain ownership of all content you create and upload to partnr.to, including storefront copy, ad creative, and brand assets.

10.2License to Us

By uploading content, you grant partnr.to a limited, non-exclusive license to store, display, and transmit that content solely as necessary to operate the Platform. We do not claim ownership of your content and will not use it for advertising or promotional purposes without your explicit consent.

10.3Our Property

The partnr.to platform, design system, codebase, and brand are our proprietary property. You may not reproduce, copy, or create derivative works without written permission.

11.

Third-Party Services

The Platform integrates with third-party services whose own terms apply independently:

—Stripe / Stripe Connect — payment processing, invoicing, and payouts
—YouTube, Substack, Spotify, and other platforms — audience data syncing via public APIs
—Resend — transactional email delivery

We are not responsible for the availability, accuracy, or actions of these services.

12.

Limitation of Liability

To the maximum extent permitted by law:

partnr.to's total liability to you for any claim arising from these Terms or your use of the Platform is limited to the platform fees you paid in the twelve months preceding the claim.

We are not liable for: lost profits, lost revenue, lost sponsorship opportunities, indirect or consequential damages, or any damages arising from the actions or omissions of other users — including sponsors who fail to pay or creators who fail to deliver.

We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or the accuracy of synced audience data.

13.

Indemnification

You agree to indemnify and hold harmless partnr.to, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: your use of the Platform; your breach of these Terms; your content; or your violation of any third-party rights.

14.

Termination

We may suspend or terminate your account at any time for material breach of these Terms, fraudulent activity, or conduct that harms other users or the Platform. You may terminate your account at any time by contacting support@partnr.to. Active booking obligations survive termination.

15.

Governing Law and Disputes

These Terms are governed by the laws of [JURISDICTION]. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of [ARBITRATION BODY], except that either party may seek injunctive relief in court for intellectual property violations.

16.

Miscellaneous

16.1Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and partnr.to.

16.2Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

16.3No Waiver

Failure to enforce any provision is not a waiver of our right to enforce it in the future.

16.4Assignment

You may not assign your account or obligations under these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
